The transaction amount will be subject to customary working capital adjustments. The acquisition is subject to regulatory approvals and other customary closing conditions and is expected to close in the fourth quarter of Ooma’s fiscal year ending January 31, 2026.

According to the announcement, upon completion of the acquisition, Phone.com will boost Ooma’s adjusted EBITDA and non-GAAP earnings per share from the effective date of the transaction. At current operating levels (excluding synergies), Phone.com expects to contribute $22 million to $23 million in revenue and $1 million to $1.5 million in adjusted EBITDA to Ooma annually.
Ooma CEO Eric Stang stated that this acquisition aligns with the company’s core strategy of serving small and medium-sized enterprises (SMEs). Phone.com’s mature platform, strong online presence, and direct sales model will create synergies with Ooma, further solidifying its industry-leading position and creating long-term value for shareholders.
Phone.com CEO Ari Rabban stated that the two companies’ visions are highly aligned. Ooma’s commitment to quality, integrity, and growth will help Phone.com continue to innovate, providing customers with better business communication solutions and continuing its excellence in serving SMEs.
